1. Acceptance of Terms

Welcome to Digiknives. These Terms & Conditions govern your access to and use of our website, digital marketing services, video editing services, and any other solutions we provide.

By accessing this website, submitting an enquiry, requesting a quotation, or purchasing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you should discontinue the use of our website and services immediately.

These Terms apply to all visitors, prospective clients, existing clients, and anyone interacting with Digiknives.

2. Services We Provide

Digiknives provides professional digital marketing and creative services including, but not limited to:

• Meta (Facebook & Instagram) Ads Management
• Performance Marketing Strategy
• Campaign Setup & Optimization
• Audience Research & Targeting
• Creative Strategy & Ad Copy
• Video Editing for Social Media & YouTube
• Short-form Content Editing
• Marketing Consultation
• Creative Asset Development

The scope of each project will be agreed upon before work begins. Any additional services requested outside the agreed scope may require a revised quotation or separate agreement.

3. Client Responsibilities

To ensure successful project delivery, clients agree to provide accurate information, timely feedback, and any necessary assets required for the completion of the project.

• Provide complete and accurate project requirements.
• Grant required access to Meta Business Manager, ad accounts, or other relevant platforms.
• Supply branding assets, logos, media files, and marketing materials where applicable.
• Review and approve deliverables within a reasonable timeframe.
• Respond promptly to requests for clarification or additional information.
• Ensure all supplied content complies with applicable laws and platform policies.

Digiknives shall not be responsible for delays resulting from missing information, delayed approvals, or restricted access provided by the client.

4. Payments & Billing

Fees for our services will be communicated and agreed upon before any work begins. Unless otherwise agreed in writing, invoices must be paid according to the payment terms specified in the proposal or invoice.

• Projects may require an upfront deposit before work commences.
• Recurring services are billed according to the agreed schedule.
• Late payments may result in delays or suspension of services.
• Advertising budgets paid directly to Meta or other platforms are separate from Digiknives' service fees.
• All quoted prices are exclusive of applicable taxes unless stated otherwise.

Failure to make payments within the agreed timeframe may result in suspension or termination of ongoing services until outstanding balances have been cleared.

5. Intellectual Property

Unless otherwise agreed in writing, all original strategies, campaign structures, designs, creative concepts, video edits, reports, and other deliverables created by Digiknives remain the intellectual property of Digiknives until full payment has been received.

Upon receipt of full payment, ownership of the final approved deliverables specifically created for your project will be transferred to the client, unless third-party licenses or platform restrictions apply.

• Clients retain ownership of their logos, trademarks, branding assets, and original content supplied to Digiknives.
• Digiknives retains ownership of proprietary workflows, internal systems, templates, processes, methodologies, and reusable assets.
• Stock images, licensed music, fonts, plugins, and third-party resources remain subject to their respective licensing agreements.
• Digiknives reserves the right to showcase completed work in its portfolio unless a separate Non-Disclosure Agreement (NDA) has been signed.

6. Confidentiality

Both Digiknives and the client agree to maintain the confidentiality of all sensitive business information shared throughout the duration of the project.

Confidential information may include, but is not limited to:

• Business strategies
• Advertising data
• Customer information
• Sales reports
• Marketing plans
• Login credentials
• Financial information
• Internal documentation

Digiknives will never intentionally disclose confidential client information to third parties unless required by law or authorized by the client.

7. Limitation of Liability

While Digiknives strives to deliver high-quality services and measurable results, we cannot guarantee specific business outcomes, sales figures, return on investment (ROI), or advertising performance.

Marketing results depend on numerous external factors including market demand, competition, product quality, pricing, audience behaviour, platform algorithm changes, and client responsiveness.

• Digiknives shall not be liable for indirect, incidental, or consequential damages.
• We are not responsible for downtime, platform outages, or advertising platform policy changes.
• Clients remain responsible for compliance with Meta, Google, Shopify, and other third-party platform policies.
• Advertising budgets paid directly to advertising platforms remain the client's responsibility.

Our total liability relating to any project shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

8. Termination of Services

Either party may terminate an ongoing agreement by providing reasonable written notice, unless otherwise stated in a signed service agreement.

Digiknives reserves the right to suspend or terminate services immediately if:

• Invoices remain unpaid beyond the agreed payment terms.
• The client engages in fraudulent or unlawful activities.
• Required project information or approvals are repeatedly withheld.
• The client breaches these Terms & Conditions.
• The requested work violates advertising platform policies or applicable laws.

Upon termination, the client remains responsible for paying for all completed work and approved project milestones up to the effective termination date.

9. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws of Pakistan, unless otherwise agreed in writing between Digiknives and the client.

Any disputes arising from the use of our website or services should first be resolved through good-faith discussions. If a resolution cannot be reached, the matter may be referred to the appropriate courts having jurisdiction.

10. Changes to These Terms

Digiknives reserves the right to update or modify these Terms & Conditions at any time to reflect changes in our services, legal requirements, or business practices.

Any updates will become effective immediately upon publication on this website unless otherwise stated. Continued use of our website or services after such changes constitutes your acceptance of the updated Terms & Conditions.
